Consignor Terms & Conditions
THE IVORY SRQ | BRIDAL CONSIGNMENT POLICY
Effective Date: 11.01.2025
Policy Version: 2.0
One. Agreement & Acceptance of Terms
These Consignor Terms & Conditions ("Policy") govern all bridal gowns and related garments accepted for consignment by The Ivory SRQ ("The Ivory," "we," "us," or "our").
By executing The Ivory's Consignment Intake Agreement, which expressly identifies and incorporates this Policy, the individual consigning the garment ("Consignor") acknowledges and agrees to be legally bound by these terms, including the provisions concerning garment handling, photography, creative styling, marketing, cleaning, maintenance, condition, liability, and dispute resolution.
This Policy forms part of the Consignment Agreement between The Ivory and Consignor. The applicable version is the version identified in the signed intake agreement and in effect when the consignment is accepted.
Consignor is responsible for reviewing these terms before entering into the consignment relationship. The full Policy will be available online for review, downloading, and retention before the agreement is signed.
If any individually negotiated written provision of the signed Consignment Intake Agreement conflicts with this Policy, the specifically negotiated provision shall control.
Two. Ownership, Authenticity & Right to Consign
Consignor represents and warrants that they are the lawful owner of the garment, have full authority to consign and sell it, and that the garment is free from undisclosed liens, competing ownership claims, or other restrictions.
All information provided regarding the designer, authenticity, original retail price, size, age, modifications, cleaning history, and condition must be accurate to the best of Consignor's knowledge.
Consignor is responsible for disclosing all known damage, alterations, repairs, fabric sensitivities, and care restrictions before acceptance.
The Ivory reserves the right to reject or terminate a consignment based on inaccurate representations, undisclosed conditions, authenticity concerns, or other legitimate business considerations.
Ownership remains with Consignor until a completed sale transfers ownership to a purchaser, subject to applicable law.
Consignor shall indemnify and hold harmless The Ivory from third-party claims resulting from Consignor's false ownership representations, material misrepresentations, or breach of these warranties, including reasonable legal expenses to the extent permitted by law. This does not apply to claims arising from The Ivory's independent wrongdoing.
Three. Acceptance & Existing Garment Condition
All consigned garments are accepted in their existing, previously owned condition.
Consignor acknowledges that bridal gowns are delicate textiles and may contain visible or concealed imperfections, including staining, discoloration, oxidation, weakened fibers, loose embellishments, pulled threads, structural irregularities, damaged hems, fabric deterioration, previous alterations, or other conditions associated with prior wear, age, handling, cleaning, or storage.
The Ivory may inspect, photograph, and document garments upon intake. Such documentation may include photographs of visible imperfections and general garment condition.
Inspection does not constitute a guarantee that all defects or vulnerabilities have been identified.
The Ivory is not responsible for preexisting conditions, inherent material defects, or deterioration occurring independently of The Ivory's actions.
Consignor acknowledges that the garment's original purchase price, sentimental value, or designer retail value may not reflect its current resale value or condition.
Four. Consignment Period, Pricing & Sale Authority
Unless otherwise agreed in writing, the standard consignment period is twelve (12) months from the date of acceptance.
Consignor authorizes The Ivory to market, display, negotiate, and sell the garment in accordance with the pricing and payout terms documented at intake.
Consignor shall provide a desired selling price and a minimum acceptable amount. The Ivory may exercise reasonable discretion regarding retail pricing, promotions, and negotiations, provided the final amount paid to Consignor is not below the agreed minimum without additional authorization.
The Ivory retains proceeds above the agreed Consignor payout as compensation for its consignment and sales services, pursuant to the individually agreed financial terms.
Consignor understands that The Ivory makes no guarantee regarding the sale of a garment, the time required to secure a buyer, or the level of customer interest generated.
Consignor shall not be entitled to reimbursement of consignment fees solely because the garment remains unsold.
Payment of sale proceeds will be made in accordance with the signed intake agreement and applicable law, following receipt of cleared buyer funds and resolution of any relevant transaction disputes.
Five. Consignment Fees
Unless otherwise documented in writing, the following standard consignment intake fees apply:
-$250 for gowns accompanied by acceptable documentation of professional cleaning.
-$350 for gowns without acceptable documentation of professional cleaning.
These fees compensate The Ivory for intake, inspection, administration, presentation, and commencement of consignment services.
Fees are earned upon commencement of those services and are nonrefundable if a garment remains unsold or is withdrawn by Consignor, except where otherwise required by law or agreed in writing.
Any separately chargeable specialty cleaning, extraordinary restoration, or alteration services must be authorized by Consignor before charges are incurred.
Six. Photography, Videography & Promotional Consent
EXPRESS AUTHORIZATION FOR PHOTOGRAPHY, PHOTO SHOOTS, CREATIVE STYLING, EDITORIAL PRESENTATION & MARKETING
Consignor expressly grants The Ivory full permission, without requiring subsequent approval of individual creative concepts, to photograph, film, style, display, and otherwise feature the consigned garment in advertising, marketing, commercial promotions, editorial content, and other activities reasonably intended to promote the garment or generate consumer interest.
This authorization includes, without limitation:
-Professional and informal photography or videography.
-Editorial, artistic, lifestyle, and commercial photo shoots.
-Indoor, outdoor, studio, showroom, and off-site photography.
-Use of professional models, employees, mannequins, or dress forms.
-Website photographs and online product listings.
-Social media posts, videos, Stories, Reels, and advertisements.
-Paid promotional campaigns, print advertising, lookbooks, digital publications, and other marketing materials.
-Collaboration with photographers, stylists, makeup artists, creative professionals, and other approved vendors.
-Content promoting both the individual garment and The Ivory's consignment services.
Consignor acknowledges that photography and marketing are customary activities undertaken to increase visibility and encourage interest in the garment.
Creative Control
The Ivory retains discretion regarding the creative direction, concept, presentation, composition, photography style, models, accessories, styling, editing, and publication of promotional content.
Consignor understands that artistic interpretation may differ from personal preferences and that Consignor approval is not required for each authorized photo shoot, creative concept, or published image.
Subjective dissatisfaction with the styling, photographs, models, creative direction, aesthetic treatment, or editorial presentation of a garment does not, by itself, constitute a violation of this Policy, physical damage to the garment, or grounds for financial compensation.
Use of Temporary Accessories & Styling Materials
Consignor expressly authorizes the reasonable use of temporary, removable styling materials and accessories as part of authorized photography, display, or promotional activities.
Such materials may include, without limitation, decorative props, flowers, ribbons, removable appliqués, accessories, temporary pins, garment clips, styling tape, temporary stickers or decals, and other nonpermanent elements intended to enhance a visual presentation.
These items may be positioned, temporarily secured, or arranged on or around the garment as reasonably appropriate to the creative concept and garment materials.
The Ivory shall exercise reasonable care in selecting, applying, and removing styling materials, with consideration for the fabric, embellishments, and construction.
Consignor acknowledges that properly authorized temporary styling does not constitute an unauthorized permanent alteration merely because the garment was photographed or displayed in a manner different from its original appearance.
The Ivory may arrange professional cleaning or appropriate maintenance to address residue, marks, wrinkles, or other remediable effects of authorized styling.
This authorization does not permit permanent cutting, dyeing, painting, or irreversible alteration without separate written authorization.
Marketing Rights & Continued Use
Consignor grants The Ivory a nonexclusive, worldwide, royalty-free right to use, reproduce, display, distribute, and republish photographs and video content lawfully created during the consignment period for legitimate advertising, marketing, editorial, portfolio, and business promotional purposes.
Such authorization continues following the sale, withdrawal, or return of the garment.
Consignor is not entitled to compensation, royalties, licensing fees, or creative approval in connection with authorized promotional use.
The Ivory is not required to remove previously published authorized photographs or marketing materials merely because the consignment relationship has ended.
The Ivory shall not use the Consignor's personal likeness, name, or identity to suggest a personal endorsement without appropriate additional authorization.
The Ivory or its respective content creators retain applicable intellectual property rights in content they own or lawfully license.
Seven. Authorized Garment Handling, Fittings & Display
Consignor expressly authorizes The Ivory to undertake reasonable actions necessary to market, display, photograph, preserve, and sell the garment.
This includes garment handling by authorized employees, representatives, models, stylists, photographers, professional cleaners, and prospective customers participating in supervised fittings.
Consignor understands that a consigned garment will not remain untouched throughout the consignment period.
Authorized activities may include:
-Display on mannequins or dress forms.
-Customer fittings and try-ons.
-Temporary pinning or clipping for presentation.
-Steaming, preparation, and garment repositioning.
-Transport between business and photo shoot locations.
-Handling by authorized creative professionals.
-Professional cleaning or maintenance when reasonably necessary.
Consignor voluntarily accepts the ordinary, foreseeable risks associated with these activities when conducted with reasonable care.
The Ivory will take reasonable precautions to protect garments from avoidable damage but does not guarantee that a garment will remain in an entirely unworn, untouched, or freshly cleaned state during active consignment.
Normal and reasonable consequences of authorized handling, such as temporary wrinkles, minor creasing, or fabric displacement, do not independently establish negligent handling or compensable damage.
Eight. Professional Cleaning & Garment Maintenance
EXPRESS CONSENT TO PROFESSIONAL CLEANING AND CONDITION MAINTENANCE
Consignor expressly authorizes The Ivory to arrange professional cleaning, steaming, spot treatment, or other reasonable garment-care services when The Ivory determines that such services are necessary or appropriate to maintain the garment's presentation, cleanliness, or suitability for sale.
Authorized cleaning may occur:
-Before the garment is photographed or displayed.
-Following fittings or handling by prospective buyers.
-Following editorial or promotional photo shoots.
-To remove residue from temporary styling materials.
-To address makeup, environmental residue, incidental soiling, or ordinary showroom exposure.
-Before returning the garment to Consignor when cleaning is reasonably necessary.
Consignor authorizes The Ivory to select and engage qualified professional cleaners or garment-care specialists and to transport the garment for these purposes.
Consignor acknowledges that the cleaning of delicate, embellished, vintage, previously altered, or previously worn garments may involve inherent risks, including changes in texture, minor color variation, loosening of embellishments, shrinkage, or the appearance of previously concealed discoloration.
The Ivory will exercise reasonable care in arranging professional services but does not guarantee that all stains or imperfections can be removed or that every garment will respond identically to treatment.
Consignor understands that no separate approval is required for each instance of ordinary, reasonable professional cleaning authorized under this Policy.
Separate approval will be sought where proposed treatment is materially beyond routine garment care, involves unusual known risks, or would constitute a permanent alteration.
Consignor agrees to permit appropriate professional cleaning when reasonably necessary to maintain the garment during the consignment period or address a remediable condition concern identified upon return.
Nine. Reported Condition Concerns & Opportunity to Remedy
REQUIRED NOTIFICATION, INSPECTION & REASONABLE OPPORTUNITY FOR CORRECTION
If Consignor believes the garment has developed staining, residue, discoloration, cleanliness concerns, or other physical damage during the consignment period, Consignor agrees to notify The Ivory promptly and provide a reasonable opportunity to investigate.
Visible concerns should be documented at pickup whenever reasonably possible.
Concerns reasonably identifiable upon ordinary inspection should be reported in writing within forty-eight (48) hours of collection. Any concealed issue not reasonably discoverable at pickup should be reported promptly following discovery.
This reporting period is intended to preserve relevant evidence and facilitate timely corrective action; it does not extinguish rights that cannot lawfully be waived.
Consignor agrees to provide photographs or other reasonably available documentation of the reported concern and to cooperate in an appropriate inspection.
The Ivory's Right to Inspect & Offer Corrective Treatment
Before independently obtaining nonemergency professional cleaning, restoration, or repairs for a condition allegedly arising during consignment, Consignor agrees to provide The Ivory with a reasonable opportunity to inspect the garment and offer an appropriate corrective remedy.
Such remedies may include:
-Professional bridal-gown cleaning.
-Spot treatment or residue removal.
-Steaming or garment pressing.
-Minor repair or restoration.
-Assessment by an appropriately qualified garment-care professional.
-Other commercially reasonable corrective services.
Where appropriate, The Ivory may arrange and pay for professional cleaning or treatment intended to address a concern attributable to its authorized activities.
Consignor agrees to make the garment reasonably available for the proposed inspection and appropriate treatment and shall not unreasonably refuse safe, professionally recommended cleaning intended to resolve the concern.
Consignor expressly agrees that, if a cleanliness or remediable condition concern is identified upon pickup or after the gown is returned, The Ivory shall be afforded a reasonable opportunity to arrange professional cleaning or corrective care before reimbursement for independently obtained nonemergency treatment is sought.
Where immediate professional action is reasonably necessary to prevent further damage, Consignor may take appropriate protective measures and shall notify The Ivory as soon as reasonably possible.
The Ivory's offer of cleaning or corrective services does not automatically constitute an admission of negligence, liability, or responsibility for the condition.
If a reported issue cannot reasonably be corrected through cleaning or restoration, the parties shall evaluate the claim based on available evidence and applicable law.
Unreasonable refusal to permit an appropriate remedy may be considered in determining whether subsequent expenses or further damage could reasonably have been avoided.
Nothing in this section relieves The Ivory of liability for proven damage to the extent required by law.
Ten. Return, Pickup & Condition Acknowledgment
Upon expiration or termination of the consignment period, Consignor will be notified when the garment is available for retrieval.
Consignor is responsible for arranging pickup within fourteen (14) calendar days of notification unless another arrangement is approved.
The Ivory may inspect, photograph, and document the garment's condition before release.
Consignor is encouraged to inspect the garment at the time of pickup, including visible fabric condition, embellishments, closures, cleanliness, and other reasonably observable details.
The Ivory may request written acknowledgment of pickup and any condition concerns noted at that time.
Acceptance of the garment without a documented visible objection may be considered evidence of the condition observed upon collection, but shall not serve as an automatic waiver of legally actionable concealed damage.
Once released to Consignor or their expressly authorized representative, The Ivory is not responsible for subsequent damage occurring during independent transportation, storage, wearing, cleaning, alteration, or handling.
The Ivory may require verification of identity and written authorization before releasing a gown to a third party.
Eleven. Preexisting Defects, Ordinary Wear & Inherent Material Risks
Consignor acknowledges that the resale and display of previously worn bridal garments involve risks distinct from those associated with new merchandise.
Delicate fibers, old stitching, glued embellishments, aged adhesives, dyes, fabric finishes, prior cleaning treatments, and previously altered construction may react unpredictably to ordinary handling or professional maintenance.
The Ivory shall not be responsible for deterioration attributable solely to inherent fabric characteristics, existing defects, age-related instability, or undisclosed prior damage.
The Ivory is not liable merely because a preexisting or concealed imperfection becomes more apparent during the consignment period.
Evidence concerning intake condition, prior repairs, cleaning history, professional assessments, and contemporaneous photographs may be considered in evaluating disputed claims.
Twelve. Loss, Theft, Accidental Damage & Limitation of Liability
The Ivory shall exercise reasonable care while garments are in its possession.
However, Consignor acknowledges that the consignment relationship does not constitute a guarantee against every possible loss, theft, accident, fabric defect, natural disaster, or other occurrence.
To the maximum extent permitted by applicable law, The Ivory shall not be liable for loss or deterioration attributable solely to preexisting conditions, inherent defects, or events outside its reasonable control where The Ivory has not failed to exercise the legally required standard of care.
In the event of a legally established claim for physical loss or damage, the parties agree that the appropriate measure of the garment's value shall be based on its provable fair-market resale value immediately before the event, considering its age, prior wear, condition, alterations, and comparable resale information, rather than automatically using its original retail price, replacement retail price, or sentimental value.
To the extent enforceable under applicable law, recovery for damage to the garment shall not exceed its established fair-market value immediately before the alleged loss.
The Ivory shall not be responsible for speculative or unforeseeable consequential damages to the extent such damages may lawfully be excluded.
Nothing contained in this Policy is intended to exclude liability for gross negligence, intentional misconduct, fraud, or other liability that cannot lawfully be excluded or limited.
Consignors with unusually valuable or irreplaceable garments are encouraged to maintain their own appropriate insurance coverage.
Thirteen. Third-Party Service Providers
Consignor authorizes The Ivory to engage appropriately qualified third-party professionals for legitimate consignment-related activities, including photography, styling, cleaning, transportation, marketing, and reasonable garment maintenance.
The Ivory shall exercise reasonable care when selecting and coordinating such providers.
The use of an independent service provider does not automatically establish that The Ivory caused a reported condition issue, nor does it automatically relieve The Ivory of responsibility imposed by applicable law.
Where a third-party service provider's actions contribute to a condition concern, The Ivory may coordinate with that provider to investigate and facilitate an appropriate remedy.
Fourteen. Marketing Results & No Guarantee of Sale
Consignor understands that sale outcomes depend on consumer demand, garment condition, sizing, designer, style, age, market trends, and pricing.
The Ivory makes no representation or warranty that a garment will sell or that marketing efforts will produce a specific volume of inquiries, appointments, or offers.
The Ivory is not required to conduct a specified number of photo shoots, social media posts, or paid advertisements unless expressly agreed in writing.
Marketing decisions remain within The Ivory's reasonable business discretion.
Fifteen. Early Withdrawal, Termination & Unsold Merchandise
Consignor may request withdrawal of the garment in writing, subject to accepted sales, pending completed transactions, and other binding commitments.
The Ivory may terminate consignment for legitimate reasons, including material misrepresentation, undisclosed condition issues, sanitation concerns, authenticity disputes, breach of contract, or unsuitability for resale.
Previously earned fees remain subject to the refund provisions of this Policy.
The Ivory may require a reasonable preparation period before releasing withdrawn or expired inventory.
If a garment is not retrieved within the designated pickup period, The Ivory may provide additional notice and, where previously disclosed and authorized, assess reasonable storage expenses.
Unclaimed garments will be handled in accordance with applicable Florida law. No provision of this Policy permits automatic forfeiture of ownership solely because a garment is unclaimed.
Sixteen. Communication, Records & Documentation
Consignor authorizes The Ivory to communicate regarding consignment matters through the telephone number, email address, or other contact information supplied at intake, subject to applicable communication laws.
The Ivory may create and retain reasonable business records concerning the consignment, including:
-Intake photographs and condition documentation.
-Signed consignment and pricing agreements.
-Cleaning and maintenance invoices.
-Photographs and marketing production records.
-Written communications regarding the garment.
-Sale and transaction records.
-Pickup confirmations and reported condition concerns.
Such records may be used for legitimate business, compliance, insurance, and dispute-resolution purposes, subject to applicable privacy laws.
Seventeen. Disputes, Complaints & Resolution Procedures
Consignor agrees to provide reasonable notice and supporting information when raising a dispute concerning garment condition, cleaning, marketing consent, sale proceeds, or another consignment matter.
The parties agree to make a good-faith effort to resolve disagreements through direct communication before initiating nonemergency legal proceedings.
The Ivory shall be afforded a reasonable opportunity to investigate and respond, ordinarily within fourteen (14) business days after receiving sufficient information regarding the complaint.
Where appropriate, the parties may arrange additional inspection, professional cleaning, garment restoration, or an independent evaluation.
Neither party is required to accept a settlement that does not resolve a valid legal claim.
Nothing in this Policy prevents Consignor from seeking legal advice, exercising statutory rights, communicating with authorities, posting truthful reviews, or pursuing legally available remedies.
Eighteen. No Waiver, Modification & Severability
The failure of The Ivory to enforce a provision on one occasion does not constitute a permanent waiver of that provision.
Any waiver must be expressly agreed to in writing.
The Ivory may update its published Policy for future consignments. Material revisions will not automatically apply to previously executed consignment agreements without the parties' legally sufficient consent.
If a court determines that any provision is invalid, unlawful, or unenforceable, the remaining provisions shall continue in effect to the extent legally permissible.
Nineteen. Governing Law & Jurisdiction
This Policy and the associated Consignment Agreement shall be interpreted under the laws of the State of Florida.
Subject to mandatory applicable law, disputes arising from the consignment relationship shall be brought before a court of competent jurisdiction in Sarasota County, Florida.
Nothing in this section limits jurisdiction or remedies that cannot lawfully be waived.
Twenty. Entire Agreement & Binding Effect
This Policy, together with the signed Consignment Intake Agreement and any specifically incorporated written addenda, constitutes the entire agreement regarding the accepted consigned garment.
By signing the Consignment Intake Agreement expressly incorporating this Policy, Consignor confirms that they have been given a meaningful opportunity to review and retain the full Policy and voluntarily agree to its applicable terms.
Consignor acknowledges that the signed intake agreement expressly incorporates these online terms and that such terms are an integral part of the consignment relationship.
